Description

This module begins with an outline of company law for those who have not studied it before. It then offers an overview of directors' duties, decision-making, minority protection versus market protection, and corporate finance, including protection of creditors. These topics are then used as a basis for the exploration of a number of issues in corporate governance, including corporate theory, board composition, remuneration, takeovers and codes of conduct.
